The Position
The Opportunity
In this Corporate Compliance & Governance Specialist role, you will be an individual contributor reporting to the Partner Lead and will be based in Mumbai. This position will involve coordinating corporate governance compliance, managing statutory filings, supporting audits, and ensuring adherence to applicable laws and Roche's internal compliance standards.
What You Will Be Working On
- Ensure compliance with the Companies Act, applicable laws, and internal company policies.
- Handle all statutory filings, including annual returns, board resolutions, minutes of meetings, and other filings with MCA, RoC, and statutory authorities.
- Provide strategic advisory support to the board on corporate governance practices and legal responsibilities.
- Conduct and facilitate secretarial audits and coordinate with external auditors for compliance reporting.
- Review, draft, and vet legal agreements, contracts, and corporate governance-related documents.
- Act as the primary liaison with regulatory bodies such as MCA, SEBI, and other key partners, ensuring timely responses to notices and queries.
- Supervise changes to corporate laws and regulations and ensure timely communication with senior leadership.
- Support Roche's global and local compliance monitoring efforts, including Healthcare Compliance and audit readiness.
- Coordinate with internal and external partners to streamline compliance, governance, and audit processes.
Who You Are
- You hold a Company Secretary (CS) qualification.
- You bring 2–3 years of relevant working experience in corporate governance, compliance, or statutory reporting (fresh graduates are encouraged to apply as we value potential, passion, and ambition).
- You have a proven understanding of corporate governance, statutory compliance, and corporate law.
- You are familiar with audits, legal documentation, and corporate reporting.
- You have experience liaising with government bodies, auditors, or regulatory authorities, which would be considered a plus.
- You possess strong communication skills with the ability to build effective and positive relationships with stakeholders.
- You demonstrate excellent organizational skills, attention to detail, and a collaborative mindset.
- You are a motivated, detail-oriented, and proactive professional with strong knowledge of corporate law and governance frameworks.
- You have a strategic and analytical mindset, thrive in collaborative environments, and are eager to grow your expertise while solving problems effectively.
